In accordance with article 60 of the Swiss Civil Code, the organs of the Association are the General Assembly, the HCF Board and the Auditor (see Article 6 of the HCF Statutes).
The General Assembly is the supreme organ of the Association. It is composed of all of the Members of the Association and makes the most important decisions. It is responsible for
- Modification of the Statutes;
- Nomination of the members of the Board and the Auditor
- Revocation of the HCF Board
- Setting contributions
The HCF Board is composed of up to 11 members with up to eight executive members, including the President, Vice President, Secretary and Treasurer; and up to 3 non-executive members appointed by the President in consultation with the executive Board members.
The HCF Board makes all of the decisions required for the correct operation of the association. It decisions are determined by simple majority.
The auditor can be a member of the Association, but not of the HCF Board.
A Secretariat assists the HCF Board is carry out the work of the Association.
The committees of the HCF Board are shown below in the HCF Organogram. The Audit Committee is chaired by a non-executive member.
An Advisory Council is also envisaged, which will include the non-executive members of the HCF Board and other leader members of the health, climate, finance and political communities.
